Le décret de 2006 organise ainsi en son article 4 la gouvernance de l'établissement : "L'Agence nationale de la recherche est administrée par un conseil d'administration, présidé par le président de l'agence. Le président de l'agence assure la direction générale de l'établissement. Il est assisté d'un ou de plusieurs directeurs généraux délégués et d'un comité de pilotage scientifique. L'agence comprend des départements scientifiques". Le décret de 2014 a fusionné les postes de président du conseil d'administration et de directeur général.
Depuis la création de l'établissement, les présidents du conseil d'administration ont été Jacques Stern (2007-2010), Eva Pebay-Peyroula (2010-2012). Les directeurs généraux ont été Jacqueline Lecourtier (2007-2011) ; Pascale Briand (2012-2014). Depuis 2014, Michael Matlosz est donc président du conseil d'administration et directeur général de l'établissement.
Le 7 février 2005 par constitution constitutive il est porté création d'un groupement d'intérêt public Agence nationale de la recherche, en attente de la création adminstrative définitive d'un établissement public. Elle prend le relais des dispositifs ministériels préexistants de financement incitatif : le fonds pour la recherche technologique (FRT) et le fonds national pour la science (FNS). Ces derniers étaient gérés respectivement par la direction de la technologie et la direction de la recherche du ministère de la Recherche en 2002, devenu l'année suivante le ministère de la Jeunesse, de l’Éducation nationale et de la Recherche.
Le décret n°2006-963 du 1er août 2006 crée définitivement sous forme d'établissement public administratif l'Agence nationale de la recherche ; ce décret est effectif à compter du 1er janvier 2007.
Le comité de pilotage scientifique est composé de six membres, étrangers au personnel de l’ANR et nommés par arrêté ministériel.
Les missions de l’agence sont essentiellement axées autour du développement, de la gestion et du financement de programmes de recherche par la mise en place de partenariats entre secteurs publics et privés. Elle assure et renforce la coopération scientifique au niveau européen et international.
Les projets financés par l’ANR sont organisés autour des six départements scientifiques :
Sciences humaines et sociales
Biologie santé
Environnement et ressources biologiques
Énergie durable
Ingénierie, procédés et sécurité
Sciences et technologies de l’information et de la communication
L’ANR peut financer des projets dits « blancs », qui ne sont pas affiliés à une thématique, mais pouvant répondre aux enjeux d’actualité, économiques, sociétaux. Le conseil d’administration doit valider un plan d’action élaboré par le comité de pilotage. Ce plan résume les objectifs de recherches ainsi que les appels à projets et doit être conforme aux attentes budgétaires, également fixées par le comité de pilotage. Un appel à projets s’effectue par un dépôt d’un dossier de candidature auprès de l’organisme responsable de sa mise en place. Cette première étape définit les coordinateurs et les partenaires du projet. Dans l’optique d’une acceptation par le comité d’évaluation ainsi que par des experts indépendants de l’ANR, la deuxième phase consiste en un dépôt d’un rapport détaillé du projet. Le comité de pilotage attribue les crédits financiers, qui peuvent être fournis par le ministère chargé de la Recherche, de fondations, de grands groupes industriels ou commerciaux.
En 2010, l’agence devient le principal opérateur d’investissements d’avenir qui soutient les projets de recherche auprès d’établissements d’enseignement supérieur. Parmi les activités les plus connues et visibles de l'établissement, il faut compter outre, le financement sur projets, dans le cadre du développement de la recherche privée, les dispositifs d'instruction du Crédit d'Impôt Recherche.
